By accessing or using the Pothos Studio website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Pothos Studio provides digital design, development, and marketing services. The specific scope, deliverables, and terms for each project will be outlined in a separate agreement or proposal.
All content on this website, including text, graphics, logos, and images, is the property of Pothos Studio and is protected by intellectual property laws.
Upon full payment for services, clients receive the agreed-upon rights to deliverables as specified in the project agreement. We may retain the right to showcase work in our portfolio unless otherwise agreed.
Clients agree to:
Payment terms will be specified in individual project agreements. We're flexible with pricing: typically split into milestones tied to approved scope, such as a deposit before work commences with the balance due on completion, unless otherwise agreed. Late payments may incur additional charges.
All recurring plans, retainers and add-ons: including hosting, care plans, paid ads management, SEO retainers, Google Business Profile management and any other subscription service: are subject to a minimum term of 3 months from the start date. After the initial term, plans continue on a rolling monthly basis and may be cancelled by providing at least 3 calendar months' written notice to [email protected]. Recurring fees remain payable in full during both the minimum term and the notice period. One-off setup fees (including paid ads launch, tracking setup, brand identity and similar) are non-refundable once work has begun, and do not entitle the Client to ongoing optimisation, account management or future work without a separate retainer.
Ad account ownership: where Pothos Studio sets up or manages ad accounts (Google Ads, Meta Ads or similar) on behalf of the Client, the Client owns the underlying account, billing relationship, pixel data, audiences and creative assets. Pothos Studio operates via standard agency access (MCC or Partner) and access is revoked at the end of the notice period. Ad spend is always paid by the Client directly to the platform.
Price changes: Pothos Studio reserves the right to review and increase recurring fees with at least 60 days' written notice, no more than once in any 12-month period. The Client may cancel within the notice period without penalty if they do not wish to accept the new price.
Retainers: retainer hours are intended for ongoing support and small pieces of work. Any single piece of work over 8 hours is scoped and quoted as a separate project at our standard project rate. Unused hours roll over for one month unless stated otherwise.
What happens on cancellation: at the end of the notice period any hosted services are taken offline. The Client may request an export of their content and a copy of their final designs at no charge. Migration of the codebase or build to another host is supported on request and may incur a reasonable export fee. Third-party services billed via Pothos Studio revert to the Client to continue independently or cancel.
Intellectual property: the Client owns the finished website, application or designs created specifically for them, including site-specific code, content, brand assets and creative deliverables, on full payment of all fees due. Pothos Studio keeps the right to reuse general approaches, frameworks, utility code and components it has developed, but not the Client's brand, site-specific designs or content. Where a site is built on a third-party platform, some files or formats may be subject to that platform's export rules; Pothos Studio will provide whatever assets and access it holds to support any future transfer.
Pothos Studio shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid for the specific service in question.
We respect the confidentiality of client information and will not disclose sensitive business information to third parties without consent, except as required by law.
Either party may terminate a project agreement with written notice. In such cases, the client is responsible for payment for all work completed up to the termination date.
These Terms of Service are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales.
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to this page. Your continued use of our services constitutes acceptance of any modifications.
